Article 1 - Introduction The website www.yoil.it (hereinafter referred to as the "Site") is an information and e-commerce site accessible via the Internet, open to all users of this network (hereinafter referred to as "Visitors"). It is published by the company Grow and Change S.a.s (hereinafter "Yoil"), with registered office at Via Riviera Berica 234/1 - 36100 Vicenza (Vi) ITALY, registered with the Vicenza Chamber of Commerce and Industry under number REA VI - 401070 VAT IT04397210248. The Site allows YOIL to sell essential oils, cosmetic ingredients, cosmetics, empty containers, and accessories produced by and/or for YOIL (the "Products") to visitors Browse the Site (the "Users"). A User who has validated an order will be referred to as a "Customer". Any order for a Product sold on the Site implies prior consultation and express and unreserved acceptance of these general terms and conditions of sale (the "GTC"), evidenced by selecting the box "I declare that I have read and accepted YOIL's general terms and conditions of sale and that I have been informed of my right of withdrawal".
Article 2 - Purpose The purpose of these general terms and conditions of sale is to define, exclusively, by virtue of the relationships they establish on the Internet, the rights and obligations of the Parties arising from the online sale of the Products offered on the Site. The Customer declares to act as the final consumer of the ordered products. They govern all necessary steps for placing an order and ensure the follow-up of such order between the Parties. These terms and conditions apply to the exclusion of any other document and, in particular, any purchasing conditions from the Customer.
Article 3 - Products 3.1 Products The Products offered for sale by YOIL are those appearing on the Site on the day of the User's consultation of the Site and within the limits of available stock. The photographs and texts illustrating the Products are purely indicative and are not contractually binding. YOIL reserves the right to modify or withdraw any Product displayed on the Site at any time and to replace or modify any content or information present on the latter. YOIL will not be held liable to the Customer or third parties for the consequences of removing any Product from the Site or replacing or modifying any content or information appearing on the Site. In case of unavailability of a Product, the User or Customer will be informed by e-mail: either during Browse on the Site, or after order validation and before delivery. As payment is charged at the time of Product order, in case of unavailability after the Order is sent, YOIL will refund the Customer within fourteen (14) days.
3.2 Use of Products Some Products sold by YOIL can be mixed and handled by the Customer. Given the nature of the Products, it is essential that the Customer informs themselves about the specific warnings for use and mixing for each Product. YOIL cannot be held responsible for non-compliance with these precautions. YOIL attaches to each order the warnings for use of the ordered Products (in particular essential oils, hygiene and safety conditions for homemade cosmetics). The Customer must take note of the warnings for use before using any YOIL Products and comply with them when using any YOIL Product. If the warnings for use have not been attached to a Product shipment, the Customer must inform Customer Service as soon as possible so that a copy can be sent. In any case, the warnings for use can also be downloaded here: "Warnings for use of essential oils and good manufacturing practices for homemade cosmetics". A Customer who gives a YOIL Product as a gift is required to deliver the warnings for use of the YOIL Product to the gift recipient. YOIL cannot be held responsible for any damage caused by the improper use of one of its Products or by non-compliance with the warnings for use and hygiene and safety conditions in the use of one of its Products communicated at the time of product order and available at the aforementioned link.
Essential Oils Essential oils are very powerful concentrates and can be dangerous if not used correctly. It is the Customer's responsibility to exercise particular caution when handling these Products. Use of Essential Oils for Therapeutic Purposes Essential oils are not harmless products and contain very high percentages of active substances. The information provided on the Site is taken from reference works on aromatherapy. They are provided for informational purposes only and do not in any way constitute medical information, nor do they entail YOIL's responsibility. YOIL does not encourage self-medication. For any use of essential oils for therapeutic or healing purposes, YOIL reminds you to first consult a qualified doctor or pharmacist. "Do-it-yourself" Cosmetics YOIL offers cosmetic ingredients on its Site that can be used for making "do-it-yourself" cosmetics. YOIL reminds that the marketing of cosmetics is subject to strict regulations. Any resale of a Product is therefore governed, in addition to the contractual provisions between the Customer and YOIL, by the legal and regulatory provisions relating to the marketing of cosmetic products. Any reuse of the Products by the Customer for the purpose of producing and/or marketing and/or commercial exploitation of cosmetic products exempts YOIL from any liability.
3.3 Resale of YOIL Products The resale of YOIL products is authorized only if provided for by a specific written contract signed between the Customer/reseller and YOIL. In the absence of such a contract, the resale and/or commercial exploitation of one or more Products, even if incorporated or mixed in a more complex preparation, is strictly prohibited. Likewise, repackaging a Product for resale under another brand is strictly prohibited, unless prior explicit written consent from YOIL.
Article 4 - Internet User Ratings and Comments For every Product purchase, the Customer may leave their review on it. They can also consult reviews and recommendations from other internet users. The reviews and recommendations expressed for each Product are binding only on the latter. Such reviews and recommendations cannot in any case constitute a contractual element on the part of YOIL, nor entail its responsibility. YOIL reserves the right to delete any disrespectful, inappropriate, or offensive review or comment. The leaf-shaped symbols appearing on the Site next to the Products represent the average of the ratings, at a given moment, left by people who have expressed their opinion on our Site regarding that Product. It is therefore likely that they change daily.
Article 5 - Prices Prices are expressed in euros and are valid for the territories of the European Union, excluding overseas departments and regions. They take into account any discounts and the VAT of the European country of destination, applicable on the day of the order. Any order placed on the Site and delivered outside the European Union, in Italian overseas departments and territories, and in other areas not subject to VAT (e.g., the Canary Islands or the Balearic Islands), will be invoiced without VAT and may be subject to any taxes, customs duties, and other related charges that are imposed when the package arrives at its destination. These additional costs are the sole responsibility of the Customer. Prices indicated on the Site are guaranteed on the day of the order within the limits of available stock and barring obvious typographical errors or omissions. The prices indicated do not include delivery costs, which will be invoiced in addition or offered depending on the order value and delivery country, and will be specified to the User at the time of final order confirmation. These delivery costs do not include customs duties and other additional costs that may be required for entry into certain countries, costs which remain the sole responsibility of the Customer. YOIL reserves the right to modify prices at any time and without notice. In any case, Products are invoiced based on the prices in force at the time of order registration. Furthermore, YOIL has a loyalty program, the conditions of which are detailed in the general conditions of the YOIL loyalty program visible on the website www.yoil.it. The customer declares to accept the general terms and conditions of the YOIL loyalty program at the moment they accept the general terms and conditions of sale of YOIL.
Article 6 - Account Creation Creating a User/Customer account (the "Account") is mandatory to place an order. User registration on the Site is validated by YOIL after verification of the standard form completed by the User. The User receives an email confirming registration. When creating an Account, the User must ensure that the information provided is accurate and complete. The User is required to keep their personal data updated. In case of an error in the recipient's data, YOIL cannot be held responsible for the impossibility of delivering the Products. By registering on the Site, the User declares and guarantees to YOIL that they are of legal age and have the legal capacity to contract. YOIL reserves the right to delete the Account at any time, for any reason, at its sole discretion, without being held liable for this.
Article 7 - Order Registration and Validation 7.1 Browse the Site The User can learn about the various Products offered for sale by YOIL by Browse its Site. The User can freely and gratuitously browse the various pages of the Site without being obliged to place an order. 7.2 Placing an Order If the User wishes to place an order, they will select the various Products, as well as their characteristics (e.g., container volume) in which they are interested, and will express this interest by clicking on the "Add to cart" pictogram. At any time, the User can:

get a summary of the selected Products, by clicking on "View cart", or

continue the selection of Products by clicking on "Continue shopping". Once on the page corresponding to the "Shopping Cart", the User can:

update their cart;

save their cart, in which case the User will need to identify themselves or create an Account if they do not have one; their cart will then be saved for a period of 24 hours and will be accessible during this period from the "My account" area;

empty their cart if they wish to cancel the pre-selection of Products;

confirm their selection of Products, choose the delivery methods and order these Products by clicking on "Confirm my order to proceed to payment". The content of the cart may be subject to an expiration date. If the cart expires, it will be up to the User to re-select the desired Products and follow the procedure described above again. To order the chosen Products, after clicking on "Confirm my order to proceed to payment", all Users must identify themselves by entering their email address and password or, if it is their first order, by clicking on "Create my account". The User is informed and accepts that entering their login and password constitutes proof of their identity and expresses their consent. Once identified, the User must validate the delivery address and an order confirmation will appear on the screen summarizing: the nature, quantity, and price of the Products selected by the User, as well as the total amount of the order, delivery costs, delivery times, the User's contact details, and the delivery address of the Products. Commercial Offers/Discounts To take advantage of a commercial offer sent, the User must enter and validate their "discount code" in the appropriate field on the page displaying their "Shopping Cart". Gift Vouchers To use a gift voucher, the User must enter and validate the gift voucher code in the appropriate field on the page displaying their "Shopping Cart". 7.3 Final Order Validation and Payment Once the User has checked the status of their order, and once all requested information has been completed, a summary of this information and an order confirmation will appear, which notably mentions:

the summary of the User's cart and the essential characteristics of the Products in question,

delivery conditions and information,

the total amount of the order, including all taxes,

a link to these General Terms and Conditions of Sale. The User must choose the payment method they wish to use to confirm the order. Orders are payable in:

euros with an Italian or international credit card, Italian or European bank transfer;

US dollars with a credit card. It is specified that by making an immediate payment by credit card, the User will be automatically transferred to the electronic payment server of the secure payment platform. This platform is protected by SSL (Secure Socket Layer) encryption to protect all data related to payment methods. At no time will the User's bank data pass through YOIL's computer system. As soon as the User validates the payment, the order is registered and the sales contract is concluded. The User becomes a Customer. The order will be recorded in YOIL's computer registers and will be considered as proof of the contractual relationship between the parties. 7.4 Order Confirmation Once the order has been validated, a summary of it will be displayed. This confirmation will contain all the elements that make up the contract between the parties. The order summary will also be sent to the Customer by email in the minutes following the purchase. The Customer can then access "order tracking" by clicking on "my account" and logging in with their email address and password. 7.5 Order Processing Despite YOIL's efforts to meet the expectations of its customers, it may be necessary for YOIL to refuse to process an order even after having sent the Customer a confirmation email summarizing the order. YOIL also reserves the right to refuse or cancel an Order from a Customer with whom there is an ongoing dispute over the payment of a previous order, or who has acted in violation of these GTC, or in case of objective suspicion of fraud. In order to protect YOIL from fraudulent practices, and in the event that YOIL or any bank or financial institution involved in the payment of the order suspects the fraudulent nature of an order, they reserve the right to ask the Customer (before sending the order) for additional documents (in particular proof of the Customer's identity) in order to verify the non-fraudulent nature of the order. In the absence of a response from the Customer within fifteen (15) days of the request being sent by YOIL or any bank or financial institution involved in the payment of the order, the order will be canceled and no payment will be collected by YOIL. In the event that payment for the order has already been received, YOIL will proceed with a refund to the Customer within fourteen (14) days from the expiry of the aforementioned deadline, based on the payment method used by the Customer. 7.6 Retention of Title YOIL retains ownership of the ordered Product(s) until full payment is received by YOIL, including delivery costs. In case of payment incident, the Customer undertakes to return the received Products to YOIL, at their own expense, upon first request. 7.7 Cancellation and Modification of an Order by the Customer Order tracking and status for orders placed by the Customer are accessible from the "My account" menu. The Customer has the possibility to cancel an order once payment has been made, provided that the order status is "registered". It is not possible to cancel an order whose status is "in preparation" or "shipped". It is not possible to modify a registered order. In this case, the Customer will have to cancel the order under the conditions indicated above and reorder the desired Products. Since payment is charged at the time of Product Order, in case of cancellation of the Order in accordance with the provisions above, YOIL will proceed with a refund to the Customer within fourteen (14) days. 7.8 Gifts - Order for Third Parties The Customer can send gifts to friends via the Site. The ordering procedure is the same as for personal purchases. The YOIL Site allows the Customer to send a personalized message to the gift recipient, which must be entered in the dedicated field on the "my cart" page. This message will appear on the accompanying document for the goods upon delivery. YOIL guarantees that the price of the item or items offered will not appear on the accompanying document for the goods upon delivery. The gift recipient will also enjoy all the guarantees referred to in Article 11 below.
Article 8 - In-Store Purchases When purchasing a Product at a YOIL retail store, the Customer is free to choose the Product from those available. The Order will be validated when the Customer pays at the checkout. Full payment of the Price must be made in cash. Unless expressly agreed in advance by a retail outlet, no delivery service is provided for in-store purchases. It is the Customer's responsibility to take away the purchased Products. Any Product purchased in a store:

is not subject to the right of withdrawal provided for below;
-
is covered by legal guarantees against conformity defects and hidden defects.
Article 9 - Delivery 9.1 Delivery Times and Methods Orders are processed as quickly as possible by our Customer Service and Delivery Department, open Monday to Friday inclusive. Orders are prepared as soon as payment is received, and credit card payment ensures rapid order processing. Delivery is carried out by YOIL's identified service providers below (the "Carriers"). The costs associated with the different delivery methods are indicated on the "Shopping Cart" page. The costs related to the chosen delivery option will be added to the price of the Products. Delivery times in mainland Italy Shipments are normally made within 48 working hours of receipt of order payment, unless otherwise indicated on the "Shopping Cart" page. After delivery by our shipping department, the order is delivered within 2 or 3 days with Poste Italia. These times are understood as working days, excluding postal delivery problems. Delivery times in the rest of the world For deliveries outside mainland France, your order will be delivered by BRT, SDA, UPS, or FEDEX, depending on the destination country. Destination countries, shipping methods, and delivery times are indicated on the YOIL website.
9.2 Delayed/Failed Delivery Loss of package during transit Supporting couriers are usually reliable. However, as with any shipment, it is possible that a delivery delay occurs or that the package is lost. In case of delivery delay exceeding 7 days, the Customer must inform YOIL Customer Service, who will transmit the information to the carrier to initiate an investigation. This investigation can last up to 21 days from the opening date. If the package is found during this period, it will be immediately resent to the Customer's address (in most cases). If, however, the package is not found at the end of the 21-day search period, the couriers will consider the package lost. In this case, YOIL will send the Customer a replacement package, at the Customer's expense. If the lost product or products are no longer available at that time, YOIL will refund the Customer the cost of such products. Order cancellation In case of delivery delay of more than 7 days compared to the estimated delivery date, the Customer may cancel the order by contacting YOIL Customer Service via email. YOIL will contact the assigned Carrier and inform them of the cancellation of the delivery. In the event that delivery is made during the processing of the cancellation, the Customer may keep the delivered Product or return it and be refunded (see the return procedure described in Article 10).
9.3 Receipt Each delivery is considered made at the moment the Product(s) is/are made available by the Carrier to the Customer, or to a third party indicated by the Customer. It is the Customer's responsibility to immediately verify upon receipt of the Product(s) the conformity and integrity of the Product(s) shipped. Any anomaly/reservation found at the time of delivery (in particular late delivery, missing or damaged product) must be reported by the Customer fully and precisely:

in the form of a "handwritten reservation" on the receipt provided by the Carrier at the time the Products are made available;

confirmed by registered letter to the Carrier within ten (10) days of receipt of the order;

to YOIL Customer Service within 48 hours of receipt of the Product. A copy of the complaint sent to the Carrier will then be requested in order to process the complaint. After examining the Customer's complaint and provided it is truthful, YOIL will return the replacement Product(s) to the Customer, at the Customer's expense.
Article 10 - Returns and Right of Withdrawal 10.1 Withdrawal Conditions The Customer has the right to return the Products within a period of fourteen (14) calendar days, without having to provide any reason or pay any penalty, with the exception of the costs of returning the Products, which will be borne by the Customer. This withdrawal period expires fourteen (14) calendar days after the day on which the Customer, or a third party designated by the Customer other than the Carrier, physically takes possession of the Products. If the Customer has ordered multiple Products in a single order, or if the Products have been delivered in multiple parts, the withdrawal period will not begin until the Customer, or a third party designated by the Customer other than the Carrier, materially takes possession of the last Product or the last part of the delivery. Pursuant to Article D. Lgs 206 2005 of the Italian Consumer Code, the right of withdrawal cannot be exercised for contracts for the supply of goods that have been unsealed by the consumer after delivery and which cannot be returned for reasons of hygiene or health protection. Only unopened, intact, complete, and undamaged products may be subject to the right of withdrawal. 10.2 Refund In case of Customer withdrawal, YOIL will refund the payments received from the Customer without undue delay and, in any case, no later than fourteen (14) days from the date on which YOIL was informed of the Customer's decision to withdraw. If the Customer withdraws from the entire order, YOIL will refund all payments received from the Customer for that order. In the event that the Customer withdraws from a part of the order, YOIL will refund the amount of the returned Products. The refund will be made using the same payment method used by the Customer for their order or via bank transfer. YOIL may defer such refund until the receipt and verification of the Products, without prejudice to the right of withdrawal.
10.3 Return of Products The Customer must return the Products no later than fourteen (14) days from the communication of their decision to withdraw. YOIL provides a return form on its Site that the Customer must complete, print, and insert into their package. Packages must be returned:

in an appropriate cardboard box and with adequate protection so that the Products do not deteriorate if the original packaging is not available;

Italy Return shipping costs are borne by the Customer. If the Products are not returned within fourteen (14) days of the Customer's communication of their decision to withdraw, no refund will be made.

Article 11 - Guarantees 11.1 Common Provisions YOIL guarantees conformity and hidden defects. Any complaint in this regard can be sent by mail to the following address: 234/1 via Riviera Berica, 36100 Vicenza, Italy or via our contact form (response within 48 hours). The seller is responsible for defects of conformity of the goods to the contract under the conditions provided for in Article Lgs 206 2005 et seq. of the Italian Consumer Code and for hidden defects of the sold goods under the conditions provided for in the articles et seq. of the Italian Civil Code. When acting under the legal guarantee of conformity, the consumer:

has a period of two years from the date of delivery of the goods to act;
-
can choose between repair or replacement of the goods, under the cost conditions referred to in Article Lgs 206 2005 of the Italian Consumer Code;
-
is exempt from proving the existence of the conformity defect of the goods during the 24 months following the delivery of the goods. The legal guarantee of conformity applies independently of any commercial guarantee that may be granted. The consumer can decide to invoke the guarantee against hidden defects of the sold goods, pursuant to the article of the Italian Civil Code. In this case, they can choose between rescission of the sale or a reduction in the selling price pursuant to the article of the Italian Civil Code. Article Lgs 206 2005 of the Consumer Code: The seller is obliged to deliver goods that conform to the contract and is responsible for any lack of conformity at the time of delivery. They are also responsible for any lack of conformity resulting from the packaging, assembly instructions, or installation when the latter was their responsibility under the contract or was carried out under their responsibility. Article of the Italian Consumer Code: Goods conform to the contract: 1 - If they are fit for the purpose for which goods of the same type are normally used and, where applicable: a) if they match the description given by the seller and possess the qualities that the seller has presented to the buyer in the form of a sample or model; b) if they possess the qualities that the buyer can reasonably expect based on the public statements made by the seller, the producer, or their representative, particularly in advertising or on labelling; 2 - Or if they have the characteristics defined by mutual agreement between the parties or are suitable for any special use required by the buyer, made known to the seller, and accepted by the latter. Any action arising from a lack of conformity must be brought within two years of the delivery of the goods. The seller is liable for hidden defects of the sold item that render it unfit for the use for which it is intended, or that so diminish its use that the buyer would not have acquired it, or would have paid a lesser price, had they known of them. The action arising from redhibitory defects must be brought by the buyer within two years of the discovery of the defect.
11.2 Procedure to follow Once YOIL has been informed of the Customer's wish to exercise one of the aforementioned legal guarantees, YOIL Customer Service will confirm receipt of the Customer's request and indicate the procedure to follow. Once the instructions from YOIL Customer Service and the corresponding return form have been received, the Customer will return the non-conforming Products or those affected by a hidden defect to YOIL at the address indicated by Customer Service. Each returned Product must be complete, unused (except in the case of a hidden defect) and, as far as possible, accompanied by the original packaging, as well as the return form and a photocopy of the invoice. Upon receipt of the allegedly non-conforming Product(s) or those affected by a hidden defect, YOIL will check the Product(s) to determine if it/they conform. Likewise, YOIL may carry out a quality test on the Products returned by the Customer to verify that the returned Products are indeed the original ones. It is understood that such checks are carried out as quickly as possible and within a maximum period of one (1) month.
11.3 Content of Legal Guarantees If the non-conformity of the Product(s) is confirmed or the hidden defect is proven: the Customer can choose between repair or replacement of the Product, subject to the conditions of the Italian Consumer Code. Note that the Customer (i) has a period of two (2) years from the date of delivery of the Product to act and (ii) is exempt from having to prove the existence of the conformity defect of the Product during the twenty-four (24) months following the delivery of the Product. In the event that the Customer invokes the guarantee against hidden defects of the sold item, the Customer may choose between rescinding the sale or a reduction in the selling price pursuant to the article of the Italian Consumer Code. In the event that the non-conformity or defect of a returned Product is not confirmed, YOIL will contact the Customer to agree on the next step. In this case, any reshipment will be at the Customer's expense.
VI - DATA TRANSFER TO NON-EU COUNTRIES

This site may share some of the data collected with services located outside the European Union area. In particular with Google, Facebook, and Microsoft (LinkedIn) through social plugins and the Google Analytics service. The transfer is authorized and strictly regulated by Article 45, paragraph 1 of EU Regulation 2016/679, so no further consent is required. The aforementioned companies guarantee their adherence to the Privacy Shield.

Article 12 - Liability YOIL shall not be liable under these Conditions if the damage or failure to fulfill our obligations is attributable to the actions of third parties, the fault of the user (see in particular the conditions of use in Article 3.2), or a force majeure event as defined in Article 15. All documents, descriptions, and information relating to the Products appearing on the Site are provided "as is", without being covered by any warranty, express or implied, with the exception of warranties provided by law. Given the nature of the Products, it is recalled that the information provided should not be considered as medical advice or recommendations. Any intended use in a therapeutic context or in the treatment of a situation (e.g., illness, infection, etc.) must be subject to prior consultation with a qualified doctor or pharmacist.
Article 13 - Personal Data Information or personal data communicated by the User and/or the Customer will be processed in accordance with the Personal Data Charter available on the Site's home page. By using the Site, the User accepts the processing of such information and details under these conditions and declares that all information or details provided are true and accurate.
Article 14 - Disputes The relationship between YOIL and any User/Customer is subject to Italian law. The choice of Italian law will not, however, deprive the consumer Customer residing outside Italy of the application of mandatory consumer protection provisions provided for by the law of the country in which the Customer has their habitual residence, provided that YOIL carries out its activity or directs its activity towards that country. In case of difficulty in the application of this contract, the Customer has the possibility, before undertaking any legal action, to seek an amicable solution, in particular with the help of a professional association in the sector, a consumer association, or any other advisor of their choice. Complaints or disputes will always be received with benevolent attention, always presuming the good faith of those who commit to explaining their situation. In case of dispute, the Customer will first contact the company to obtain an amicable solution. In accordance with the provisions of the Italian Consumer Code regarding amicable dispute resolution. Article 15 - Force Majeure Neither Party shall be liable for the total or partial non-performance of its obligations under these GTC if such non-performance is caused by an event constituting force majeure. Events that meet the criteria established by the jurisprudence of the Court of Cassation and by legislation are considered force majeure. The Party invoking an event constituting force majeure must notify the other Party within five (5) working days of the occurrence of such event. The Parties agree to consult as soon as possible to jointly determine how to execute the order during the period of force majeure. After a period of interruption of one (1) month due to force majeure, YOIL will be free to cancel the order and will be responsible for reimbursing the Customer, if necessary.
Article 16 - Partial Nullity If one or more provisions of these GTC are deemed invalid or declared as such in application of a law, regulation, or following a definitive decision of a competent court, the other provisions will retain their full validity and scope.
Article 17 - Entirety of the GTC These GTC and the order summary sent to the Customer form a contractual whole and constitute the entire contractual relationship between the Parties. In case of contradiction between these documents, the GTC will prevail.
Article 18 - Modification of the GTC It is specified that the Customer can save or print these GTC, provided they are not modified.
